    These Terms constitute a legally binding agreement between you, the user ("User," "you," or "your"), and BIZMONI ("Company," "we," "us," or "our"). By using the Platform, you represent that you have read, understood, and accepted these Terms and that you have the authority to enter into this agreement.

    1.3 Refusal of Terms

    If you do not agree to any part of these Terms, you must immediately cease all use of the Platform. Your continued use of the Platform after receiving notice of any changes constitutes your acceptance of the revised Terms.

    1.4 Amendments

    BIZMONI reserves the right to update, modify, or replace these Terms at any time at our sole discretion. We will make reasonable efforts to notify Users of material changes, including by posting a notice on the Platform or sending an email to your registered address. Continued use of the Platform following the posting of updated Terms constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically.

    1.5 Eligibility

    To access and use the Platform, you must be at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts under the laws of your jurisdiction. By using the Platform, you represent and warrant that you meet these eligibility requirements. If you are using the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

    2.5 "Affiliate"

    2.6 "Confidential Information"

    Any proprietary business, financial, technical, strategic, or operational information disclosed by one party to the other in connection with the use of the Platform or any related agreement, whether disclosed in writing, verbally, electronically, or by any other means, and whether or not expressly marked as confidential.

    2.7 "Personal Data"

    Any information that identifies, or could reasonably be used to identify, a natural person, whether directly or indirectly. 3. Privacy & Data Protection

    3.1 Data Collection

    BIZMONI collects several categories of Personal Data and other information in connection with the operation of the Platform, including:

    • Account Data — name, email address, username, password, and account preferences provided during registration;
    • Usage Data — pages visited, features used, session duration, click activity, and Platform interaction logs;
    • Payment Data — billing name and address, payment method details (processed securely via third-party payment processors; BIZMONI does not store full card numbers);
    • Device & Technical Data — IP address, browser type, operating system, device identifiers, and geolocation data; and
    • Communications Data — messages, support tickets, survey responses, and other correspondence submitted through the Platform.

    3.2 Legal Basis for Processing

    BIZMONI processes Personal Data on the following legal bases as applicable: (a) Consent — where you have given explicit consent, including for marketing communications and non-essential cookies; (b) Contractual Necessity — to perform our obligations to you under these Terms, including delivering subscriptions, training, and services; (c) Legitimate Interest — for fraud prevention, security, platform improvement, and analytics, where such interests are not overridden by your rights; and (d) Legal Obligation — where processing is required to comply with applicable law. These bases correspond to Article 6 of the GDPR, and equivalent provisions under the CCPA, PIPEDA, LGPD, PDPA, and other applicable data protection laws.

    3.3 Data Use

    BIZMONI uses collected Personal Data for the following purposes: operating and improving the Platform; processing payments and managing accounts; communicating service updates, promotional offers, and important notices; conducting analytics to understand usage patterns and improve User experience; complying with legal and regulatory obligations; and preventing fraudulent, harmful, or unauthorized activity.

    3.4 Data Sharing

    BIZMONI does not sell, rent, or trade Personal Data to third parties. We may share data on a limited basis with: (a) payment processors and financial service providers for transaction fulfillment; (b) analytics and technology service providers operating under data processing agreements; (c) legal and regulatory authorities where disclosure is required by law, court order, or governmental request; and (d) successor entities in the event of a merger, acquisition, or sale of assets, subject to equivalent data protection obligations.

    3.5 International Data Transfers

    Where Personal Data is transferred from the European Economic Area (EEA), United Kingdom, or other jurisdictions with data transfer restrictions to countries not deemed adequate by relevant regulatory authorities, BIZMONI implements appropriate safeguards including Standard Contractual Clauses (SCCs) as approved by the European Commission, adequacy decisions where applicable, and other lawful transfer mechanisms in accordance with applicable law.

    3.6 Data Retention

    BIZMONI retains Personal Data only for as long as necessary to fulfill the purposes outlined in these Terms, satisfy applicable legal and regulatory requirements, or resolve disputes. Account data is retained for the duration of the active account relationship and for up to five (5) years following account closure unless a longer retention period is required by law. Financial and transaction records are retained for a minimum of seven (7) years for tax and compliance purposes. Users may request deletion of their Personal Data as outlined in Section 3.7, subject to applicable legal retention obligations.

    3.7 User Rights

    Subject to applicable data protection law, Users have the following rights with respect to their Personal Data:

    • Right of Access: to obtain a copy of the Personal Data we hold about you;
    • Right of Rectification: to request correction of inaccurate or incomplete data;
    • Right of Erasure: to request deletion of your Personal Data, subject to legal retention requirements;
    • Right of Portability: to receive your data in a structured, machine-readable format;
    • Right to Object: to object to processing based on legitimate interest or for direct marketing;
    • Right to Restriction: to request a temporary halt to processing in certain circumstances.

    Exercising Your Rights

    To exercise any of these rights, please contact privacy@bizmoni.com. BIZMONI will respond to verified requests within thirty (30) calendar days, or as otherwise required by applicable law.

    3.8 Cookies & Tracking

    The Platform uses cookies and similar tracking technologies. We deploy: (a) Essential Cookies — required for Platform functionality, authentication, and security; (b) Analytical Cookies — to measure Platform usage, traffic, and performance; and (c) Marketing Cookies — to deliver relevant advertising and track the effectiveness of promotional campaigns. Users may manage cookie preferences via the cookie consent banner displayed on first visit, or by adjusting browser settings. Opting out of non-essential cookies does not affect Platform access, though some features may be limited.

    3.9 Children's Privacy

    The Platform is not directed at, marketed to, or intended for use by individuals under the age of thirteen (13). BIZMONI does not knowingly collect Personal Data from children under 13. If we become aware that we have inadvertently collected such data, we will delete it promptly. Parents or guardians who believe their child has provided Personal Data to BIZMONI should contact privacy@bizmoni.com. This section is consistent with the U.S. Children's Online Privacy Protection Act (COPPA) and equivalent international protections.

    3.10 Data Breach Notification

    In the event of a data breach that is likely to result in a risk to the rights and freedoms of affected individuals, BIZMONI will: (a) notify relevant supervisory authorities within seventy-two (72) hours of becoming aware of the breach, where required under applicable law (including GDPR Article 33); and (b) notify affected Users without undue delay where the breach is likely to result in a high risk to their rights and freedoms. Internal incident response procedures are maintained and reviewed regularly to ensure timely and effective breach management.

    4. Subscription Terms

    4.1 Subscription Plans

    BIZMONI offers multiple subscription tiers to accommodate varying User needs, including Free, Basic, Professional, and Enterprise plans. The specific features, tools, and access levels available under each plan are described on the Platform's pricing page and are subject to change. Selecting a plan constitutes agreement to the pricing and terms applicable to that tier at the time of enrollment.

    4.2 Billing & Payment

    Paid subscriptions are billed on a recurring basis — either monthly or annually — based on the plan selected. Payment is due at the beginning of each billing cycle. BIZMONI accepts major credit and debit cards and other payment methods as displayed at checkout. By providing payment information, you authorize BIZMONI (or its designated payment processor) to charge your payment method for all applicable fees on a recurring basis until cancelled.

    4.3 Free Trials

    BIZMONI may from time to time offer free trial periods for paid subscription plans. Unless you cancel before the conclusion of the trial period, your subscription will automatically convert to a paid plan and your payment method will be charged at the applicable rate. BIZMONI will communicate trial duration and conversion terms at the time of trial enrollment.

    4.4 Price Changes

    BIZMONI reserves the right to modify subscription pricing at any time. Users will receive no less than thirty (30) days' advance written notice of any price change via email to the registered account address or by notice posted on the Platform. Continued use of the Platform following the effective date of a price change constitutes your acceptance of the new pricing.

    4.5 Cancellation Policy

    Users may cancel their subscription at any time through the account settings dashboard or by contacting support@bizmoni.com. Upon cancellation, your access to paid features will continue through the end of the current paid billing period. BIZMONI does not provide pro-rated refunds for unused portions of a billing period, except where required by applicable law.

    4.6 Refund Policy

    New subscribers may be eligible for a refund within fourteen (14) calendar days of their initial purchase, provided a refund request is submitted to support@bizmoni.com within that window. Refunds are not available for subscription renewals except where required by applicable law or in cases of proven service failure attributable to BIZMONI. Requests will be reviewed on a case-by-case basis at BIZMONI's discretion.

    4.7 Suspension & Termination

    BIZMONI reserves the right to suspend or terminate a User's account and access to the Platform in the event of: (a) breach of these Terms; (b) fraudulent, abusive, or illegal activity; (c) non-payment of applicable fees; or (d) conduct that threatens the integrity or security of the Platform. Where reasonably practicable, BIZMONI will provide advance notice of suspension or termination. BIZMONI's rights under this section are in addition to any other legal remedies available.

    4.8 Downgrades

    Users who downgrade their subscription plan will retain access to their existing plan features through the end of the current billing period, after which access will be adjusted to reflect the new plan level. BIZMONI will preserve User data for a period of ninety (90) days following a downgrade to a lower plan tier. After this period, data associated exclusively with higher-tier features may be permanently deleted. Users are encouraged to export relevant data prior to downgrading.

    5. Training Programs & Educational Content

    5.1 Scope of Training Services

    BIZMONI offers a range of educational and professional development services through the Platform, including online courses, live and recorded webinars, virtual workshops, one-on-one or group coaching sessions, and downloadable resource materials. The availability and scope of training services may vary by subscription tier and geographic region.

    5.2 Enrollment & Access

    Access to training programs is granted upon confirmation of payment or eligibility under an active subscription. Training content is delivered digitally via the Platform. Access may be subject to device and account limits as specified at the time of enrollment. Sharing login credentials to allow unauthorized access to training content is strictly prohibited and may result in account termination without refund.

    5.3 Intellectual Property in Training Content

    All training materials, course content, presentations, videos, workbooks, scripts, and associated resources are the exclusive proprietary property of BIZMONI or its licensed content partners. No training content may be reproduced, redistributed, recorded, resold, sublicensed, publicly displayed, or otherwise exploited without the prior express written permission of BIZMONI. Unauthorized use of training content may result in immediate account termination and legal action.

    5.4 No Professional Advice

    Training and educational content provided through the Platform is intended for general informational and educational purposes only. Nothing in BIZMONI's training programs constitutes legal, financial, medical, tax, investment, or professional advice of any kind. Users should seek the guidance of qualified professionals before making business, financial, or legal decisions based on information obtained through the Platform.

    5.5 Results Disclaimer

    BIZMONI makes no representations or guarantees regarding specific outcomes, income levels, business success, or other results that may be achieved through participation in training programs. Individual results will vary based on personal effort, experience, market conditions, and numerous other factors beyond BIZMONI's control. Testimonials and case studies shared on the Platform reflect individual experiences and are not representative of typical results.

    5.6 Course Updates

    BIZMONI reserves the right to update, revise, supplement, or discontinue any training content at any time without prior notice. Where course content is materially updated during an active enrollment period, enrolled Users will be provided access to the most current version unless otherwise specified. BIZMONI is not obligated to provide indefinite access to superseded versions of course content.

    5.7 Conduct in Training Environments

    Users are expected to participate in all training programs with respect, professionalism, and good faith. Disruptive, abusive, harassing, or otherwise inappropriate conduct in live training environments — including webinars, workshops, and coaching sessions — may result in the immediate removal of the offending User without refund. BIZMONI reserves sole discretion in determining what constitutes unacceptable conduct.

    6. Affiliate Program Terms

    6.1 Program Overview

    BIZMONI operates an affiliate program that enables approved partners to earn commissions by referring new customers to the Platform. Participation in the Affiliate Program is subject to these Terms and any additional terms set forth in the Affiliate Program Agreement and Affiliate Dashboard.

    6.2 Eligibility & Application

    To participate in the Affiliate Program, applicants must: (a) be at least eighteen (18) years of age; (b) provide valid tax identification information as required by applicable law; (c) comply fully with these Terms and all applicable laws and advertising standards; and (d) receive written approval from BIZMONI. BIZMONI reserves the right, at its sole discretion, to approve or reject any application without obligation to provide reasons for its decision.

    6.3 Commission Structure

    Applicable commission rates, eligibility tiers, minimum payment thresholds, and payout schedules are detailed within the Affiliate Dashboard accessible upon approval. BIZMONI reserves the right to modify commission structures at any time with no less than thirty (30) days' prior written notice. Continued participation in the Affiliate Program following such notice constitutes acceptance of the revised commission terms.

    6.4 Prohibited Affiliate Practices

    Affiliates are strictly prohibited from engaging in the following practices:

    • Sending unsolicited bulk emails or engaging in any form of spam;
    • Making false, misleading, or unsubstantiated claims about BIZMONI's products, services, or income potential;
    • Cookie stuffing, click fraud, or manipulation of tracking mechanisms;
    • Bidding on BIZMONI's trademarked terms in paid search advertising without prior written consent;
    • Creating websites or content that mimic or impersonate BIZMONI's official presence; or
    • Any other practice that is deceptive, unethical, or in violation of applicable law.

    6.5 Tracking & Attribution

    Affiliate referrals are tracked through unique affiliate links and UTM parameters assigned to each approved Affiliate. Cookie tracking duration is ninety (90) days from the date of initial click. BIZMONI employs a last-click attribution model, whereby commission is attributed to the most recent qualifying affiliate referral prior to a conversion. BIZMONI does not guarantee tracking accuracy in all technical environments and is not liable for referrals lost due to browser settings, ad blockers, or other user-side limitations.

    6.6 Payment & Tax

    Commissions are paid to approved Affiliates on a monthly basis via payment methods supported by BIZMONI's affiliate payment system, subject to reaching the applicable minimum payment threshold. Affiliates are solely responsible for reporting and remitting applicable taxes on commission income in their respective jurisdictions. BIZMONI may withhold or report payments to tax authorities where required by applicable law, including U.S. IRS requirements for payments exceeding applicable thresholds.

    6.7 Termination of Affiliate Status

    Either party may terminate an Affiliate's participation in the program with thirty (30) days' written notice to the other party. BIZMONI may terminate Affiliate status immediately and without notice in the event of a breach of these Terms or fraudulent conduct. Upon termination, commissions validly earned prior to the termination date will be paid in accordance with the standard payout schedule. Commissions determined to have been generated through fraudulent activity are forfeited in their entirety.

    6.8 Affiliate Compliance

    All Affiliates must comply with applicable advertising disclosure requirements and standards, including: (a) the U.S. Federal Trade Commission (FTC) Endorsement and Testimonial Guidelines, including clear and conspicuous disclosure of material connections; (b) the UK Committee of Advertising Practice (CAP) Code; (c) applicable consumer protection and advertising regulations in the Affiliate's country of operation; and (d) any platform-specific guidelines applicable to the channels through which affiliate promotions are distributed.

    7. Confidentiality

    7.1 Mutual Confidentiality Obligations

    Each party agrees to maintain the confidentiality of the other party's Confidential Information with at least the same degree of care it applies to its own proprietary and confidential information, and in no event with less than a reasonable standard of care. Each party agrees not to use the other party's Confidential Information for any purpose other than as necessary to exercise rights or fulfill obligations under these Terms.

    7.2 Definition of Confidential Information

    For purposes of this Section, Confidential Information includes, without limitation: business strategies and plans; pricing models and financial data; unreleased products and features; customer and user lists; proprietary technology, software, and systems; training methodologies and curriculum; internal processes and operational procedures; and any other information that a reasonable party would consider confidential, whether or not expressly designated as such at the time of disclosure.

    7.3 Exclusions

    Confidentiality obligations under this Section do not apply to information that: (a) is or becomes publicly available through no breach of these Terms or any other obligation of confidentiality; (b) was known to the receiving party prior to disclosure, as evidenced by contemporaneous written records; (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (d) is lawfully received from a third party without restriction on disclosure.

    7.4 Non-Disclosure

    Confidential Information shall not be disclosed to any third party without the prior express written consent of the disclosing party, except as permitted under Section 7.3 or as required by applicable law. Each party shall limit internal disclosure of the other's Confidential Information to employees, contractors, and advisors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth in these Terms.

    7.5 Duration

    Confidentiality obligations under this Section shall survive the termination or expiration of these Terms for a period of five (5) years following the date of termination. Notwithstanding the foregoing, confidentiality obligations with respect to trade secrets shall continue for so long as such information qualifies as a trade secret under applicable law.

    7.6 Compelled Disclosure

    If a party is required by applicable law, regulation, or court order to disclose Confidential Information, the disclosing party shall, to the extent permitted by law: (a) provide prompt written notice to the other party prior to disclosure to enable that party to seek a protective order or other appropriate relief; (b) cooperate reasonably with the other party in any effort to limit or prevent such disclosure; and (c) disclose only that portion of the Confidential Information strictly required by the legal mandate.

    9. Global Consumer Rights

    9.1 General Consumer Protections

    BIZMONI respects and upholds the consumer protection rights of Users in all jurisdictions in which it operates. Nothing in these Terms is intended to limit, exclude, or diminish any rights that applicable mandatory consumer protection law confers upon Users. Where applicable law provides greater protections than those set out in these Terms, the applicable law prevails.

    9.2 EU/UK Consumer Rights

    Users located in the European Union have the right to withdraw from a digital service contract within fourteen (14) calendar days of conclusion of the contract, in accordance with the EU Consumer Rights Directive (2011/83/EU). This right does not apply where the User has expressly consented to the commencement of service delivery before the withdrawal period expires and acknowledged the consequent loss of the withdrawal right. Users located in the United Kingdom have equivalent rights under the Consumer Rights Act 2015 and associated regulations, subject to the same digital content commencement exception.

    9.3 Australian Consumer Law (ACL)

    For Users in Australia, BIZMONI's services and digital products come with non-excludable guarantees under the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010). These include guarantees that services will be rendered with due care and skill, and that digital products will be of acceptable quality and fit for purpose. Where BIZMONI fails to meet these guarantees, Users may be entitled to a remedy including repair, replacement, or refund, as applicable. Nothing in these Terms purports to exclude, restrict, or modify rights conferred by the ACL that cannot be excluded, restricted, or modified by agreement.

    9.4 Canadian Consumer Rights

    BIZMONI complies with applicable Canadian federal and provincial consumer protection legislation, including Ontario's Consumer Protection Act, 2002, and equivalent provincial statutes. Canadian Users retain all rights afforded to them under applicable law, including rights relating to unfair practices, internet agreements, and dispute resolution. BIZMONI provides dispute resolution pathways consistent with Canadian law.

    9.5 U.S. Consumer Rights

    BIZMONI complies with applicable U.S. federal and state consumer protection laws, including: the Federal Trade Commission Act; the CCPA and CPRA for California residents; the New York SHIELD Act; and applicable state Unfair, Deceptive, or Abusive Acts or Practices (UDAP) statutes. California residents may have additional rights regarding the collection, use, and disclosure of their Personal Data as described in our Privacy Policy.

    9.6 Dispute Resolution

    BIZMONI encourages Users to contact our support team at support@bizmoni.com as the first step in resolving any concern or complaint. Most issues can be resolved informally within a reasonable timeframe. If informal resolution is unsuccessful within thirty (30) days of the initial complaint, the following formal mechanisms apply:

    • U.S. Users: Binding arbitration administered by the American Arbitration Association (AAA) or JAMS, in accordance with their applicable rules. Users and BIZMONI each waive the right to participate in class action litigation or class-wide arbitration to the extent permitted by applicable law.
    • EU Users: May seek resolution through the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.
    • All other Users: May pursue resolution through applicable local consumer tribunals, ombudsman schemes, or courts of competent jurisdiction.

    9.7 Governing Law & Jurisdiction

    These Terms and any dispute arising from your use of the Platform shall be governed by and construed in accordance with the laws of the State of Georgia, United States, and applicable federal law, without regard to conflict of law principles. For EU and UK Users, mandatory consumer protection laws of the User's country of residence apply to the extent they afford greater protections. For other Users, applicable local mandatory law applies where legally required.

    9.8 Limitations on Liability

    To the fullest extent permitted by applicable law, BIZMONI's total aggregate liability to any User arising from or related to these Terms or use of the Platform shall not exceed the total amounts paid by that User to BIZMONI during the twelve (12) months immediately preceding the claim giving rise to liability. BIZMONI shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, data loss, or reputational harm — whether or not BIZMONI has been advised of the possibility of such damages. These limitations apply regardless of the legal theory on which a claim is based and to the maximum extent permitted by applicable law.

    9.9 Indemnification

    You agree to defend, indemnify, and hold harmless BIZMONI, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, settlements, losses, costs, and expenses — including reasonable attorneys' fees — arising out of or relating to: (a) your breach of these Terms; (b) your misuse of the Platform or Content; (c) your violation of any applicable law or regulation; or (d) your infringement or misappropriation of the rights of any third party.

    10. Intellectual Property

    10.1 BIZMONI's Intellectual Property

    All Content, trademarks, service marks, logos, trade names, software, technology, databases, designs, and other materials available on or through the Platform are the exclusive property of BIZMONI or its licensors and are protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws. No rights in or to BIZMONI's intellectual property are transferred to Users by virtue of using the Platform, except for the limited license granted in Section 10.2.

    10.2 Limited License to Users

    Subject to your compliance with these Terms, BIZMONI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its Content solely for your own personal or internal business purposes as contemplated by your applicable subscription tier. This license does not include the right to: sublicense, sell, or resell any Platform access or Content; copy, reproduce, or create derivative works from Content; frame or mirror any portion of the Platform; or use automated tools to access or extract Content.

    10.3 Prohibited Use of Content

    Users must not copy, reproduce, modify, translate, distribute, transmit, display, perform, publish, license, reverse engineer, create derivative works from, transfer, or otherwise exploit any Content without the prior express written permission of BIZMONI. Unauthorized use of Content constitutes a material breach of these Terms and may give rise to civil and criminal liability.

    10.4 User-Generated Content

    To the extent Users submit, post, or otherwise provide Content to the Platform (including in forums, feedback forms, or community features), you retain ownership of your original content. However, by submitting Content to the Platform, you grant BIZMONI a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, display, modify, and distribute such Content in connection with the operation, promotion, and improvement of the Platform. You represent and warrant that you have all rights necessary to grant this license.

    11. Acceptable Use Policy

    11.1 Prohibited Conduct

    Users must not use the Platform for any unlawful, harmful, or unauthorized purpose. Without limiting the foregoing, the following activities are expressly prohibited:

    • Using the Platform for any purpose that violates applicable local, national, or international law or regulation;
    • Impersonating any individual, organization, or entity, or misrepresenting your affiliation with any person or organization;
    • Uploading, transmitting, or distributing harmful, offensive, defamatory, obscene, or otherwise objectionable content;
    • Attempting to gain unauthorized access to any portion of the Platform, its servers, or any connected systems or networks;
    • Sending unsolicited commercial communications (spam) to other Users or through the Platform;
    • Collecting or harvesting personal information of other Users without their knowledge or consent;
    • Engaging in any conduct that interferes with or disrupts other Users' use or enjoyment of the Platform;
    • Violating or infringing upon the intellectual property, privacy, or other rights of BIZMONI or any third party.

    11.2 Enforcement

    BIZMONI reserves the right to investigate any suspected violation of this Acceptable Use Policy and to take appropriate action, which may include removing offending Content, suspending or terminating the User's account, and reporting the conduct to law enforcement or regulatory authorities. In cases of serious or imminent violations, BIZMONI may act without prior notice. BIZMONI's failure to take action on any particular violation does not waive its right to act on subsequent violations.

    12. Disclaimers & Warranties

    12.1 "As Is" Provision

    The Platform and all Content are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind — either express, implied, or statutory. To the fullest extent permitted by applicable law, BIZMONI expressly disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

    12.2 No Warranty of Availability

    BIZMONI does not warrant that the Platform will be available at all times, uninterrupted, error-free, free of viruses or other harmful components, or that defects will be corrected. Scheduled and unscheduled maintenance, outages, and service interruptions may occur. BIZMONI will use commercially reasonable efforts to minimize disruptions but accepts no liability for Platform unavailability.

    12.3 Third-Party Content & Links

    The Platform may contain links to, or integrate with, third-party websites, services, and resources. BIZMONI does not endorse, control, or assume responsibility for third-party content, products, or services. Access to third-party platforms is at the User's own risk and is subject to the third party's own terms and policies. BIZMONI is not liable for any loss or damage arising from your use of third-party services.

    13. Modifications to the Platform

    13.1 Right to Modify

    BIZMONI reserves the right, at its sole discretion and at any time, to modify, update, enhance, suspend, or discontinue any aspect of the Platform — including features, functionality, pricing structures, or the Platform as a whole — with or without prior notice to Users. BIZMONI may also impose usage limits or restrictions on certain features at any time.

    13.2 No Liability for Modifications

    BIZMONI shall not be liable to you or any third party for any modification, suspension, interruption, or discontinuation of the Platform or any part thereof. 15. General Provisions

    15.1 Severability

    If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful, void, or unenforceable under applicable law, that provision shall be deemed severed from these Terms. The remaining provisions shall continue in full force and effect to the maximum extent permitted by law. Where possible, the invalid provision shall be interpreted to reflect the original intent of the parties.

    15.2 Entire Agreement

    These Terms, together with the BIZMONI Privacy Policy, the Affiliate Program Agreement (where applicable), and any other addenda or supplemental terms incorporated by reference, constitute the entire agreement between you and BIZMONI with respect to your use of the Platform. They supersede all prior agreements, representations, understandings, and negotiations, whether written or oral, relating to the same subject matter.

    15.3 Waiver

    No failure or delay by BIZMONI in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No waiver by BIZMONI of any breach of these Terms by a User shall be deemed a waiver of any subsequent breach of the same or any other provision. All waivers must be in writing and signed by an authorized representative of BIZMONI to be effective.

    15.4 Force Majeure

    BIZMONI shall not be held liable for any failure or delay in performance of its obligations under these Terms arising from circumstances beyond its reasonable control, including but not limited to: acts of God; natural disasters; pandemics or public health emergencies; war, terrorism, or civil unrest; government actions or regulations; power outages or internet infrastructure failures; or acts or omissions of third-party service providers. BIZMONI will use commercially reasonable efforts to resume performance as soon as reasonably practicable.

    15.5 Assignment

    BIZMONI may assign, transfer, or delegate any of its rights or obligations under these Terms — in whole or in part — in connection with a merger, acquisition, sale of substantially all assets, corporate reorganization, or operation of law, without your consent. You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior express written consent of BIZMONI. Any attempted assignment in violation of this provision is null and void.

    15.6 Language

    These Terms are drafted and shall be interpreted in the English language. Where BIZMONI makes these Terms available in translated form for User convenience, the English language version shall prevail in all cases of conflict, ambiguity, or inconsistency between any translation and the English original.

    15.7 No Partnership or Agency

    Nothing in these Terms shall create, or be deemed to create, a partnership, joint venture, employment relationship, or agency between BIZMONI and any User. Neither party has authority to bind the other party in any capacity, except as expressly provided in these Terms.
